Eligibility: The Titans NFL Draft Virtual Inner Circle Contest ("Contest") is open to legal residents of the United States and the District of Colombia (excluding Arizona, Colorado, Maryland, Nebraska, North Dakota, Vermont, Puerto Rico, and other U.S. Commonwealths, Territories and jurisdictions (including overseas military installations), who have a computer or mobile phone with camera and microphone capabilities, who have a wireless highspeed internet connection, and who are eighteen (18) years of age or older as of date of entry. Employees, officers & directors of Tennessee Football, Inc., doing business as the Tennessee Titans ("Sponsor"), Facebook, Inc., Twitter, Inc., the NFL Parties (defined as NFL Enterprises LLC, NFL Properties LLC, the National Football League, its member professional football clubs, NFL Ventures, Inc., NFL Ventures, L.P., NFL International LLC, NFL Productions LLC and each of their respective affiliates, owners, subsidiaries, shareholders, officers, directors, partners, agents, representatives and employees, both individually and collectively) and each of their respective parents, affiliates, subsidiaries, agents, wholesalers, retailers, distributors, suppliers, advertising and promotion agencies (hereafter collectively, "Released Parties"), and each such individual's immediate family members (mother, father, sister, brother, child, husband, wife and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related, are not eligible to participate or win.

This Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook, Twitter or Instagram. You are providing your information to the Sponsor and not to Facebook, Twitter or Instagram.

Contest Period: The Contest starts on April 9, 2020 10:00 AM Central Time ("CT") and ends on April 14, 2020 at 11:59 PM CT (the "Contest Period"). Sponsor's computer is the official time-keeping device for the Contest. In order to be eligible, Submissions must be received by 11:59 PM CT April 14, 2020.

How to Participate: Participants may enter the Contest by visiting https://www.tennesseetitans.com/sweepstakes/2020-draft-virtual-inner-circle and completing the entry form and associated requirements (a "Submission" and/or "Entry"). In addition to completing the entry form, you are required to submit a photo of yourself or a headshot and a written explanation as to why you are a Titans super fan and should be selected for this opportunity.

Restrictions: Limit one (1) Contest entry per person and/or per valid email address, regardless of the method of entry. Additional entries received beyond the first Entry from any given handle, person and/or valid e-mail on any given day will be void. By submitting an Entry, entrant hereby warrants and represents that the Entry conforms to the Entry Requirements set forth herein. Entries that are deemed to be immoral, obscene, profane or not in keeping with Sponsor's image or in violation of these Official Rules will be void. In addition, to be eligible, Entry cannot include any third-party intellectual property, general property, likeness or imagery. Entry cannot defame or invade intellectual property rights of any person, living or deceased, or otherwise infringe upon any copyrighted, trademarked, or patented works or person's personal or proprietary rights. All Entries become the exclusive property of the Sponsor, and none will be acknowledged or returned.

Choosing Winners:Four (4) Grand Prize winners will be determined on or about April 15, 2020, from among all eligible Submissions received. All eligible entries will be evaluated by a judging panel (of Sponsor representatives) based on the following criteria: 1) Creativity (0-50 points), 2) Compelling Story (0-25 points), and 3) Originality (0-25 points). The four (4) entrants who receive the highest total score from the judging panel will be selected as the potential Grand Prize winners. In the event of a tie, all tied Submissions will be re-judged by Sponsor based on the following criteria: Creativity (0-100 points). All decisions by Sponsor and judges are final and binding. Sponsor reserves the right to select fewer than four (4) Grand Prize winners, if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries. Sponsor will attempt to notify each potential winner via email and/or telephone call. The potential winner must then contact Sponsor within twenty-four (24) hours of notification. Potential winners are subject to eligibility verification and compliance with these Official Rules.

If a potential winner cannot be contacted; is ineligible according to these Official Rules; if a potential winner decides to decline his/her prize for any reason whatsoever; or if a potential winner otherwise fails to fully comply with these Official Rules, he/she will forfeit his/her prize and the prize may be awarded to another randomly selected entrant. Potential Grand Prize winners will be required to execute and return an Affidavit of Eligibility, Declaration of Compliance, Liability Release and (unless prohibited by law) Publicity Release within three (3) days of issuance.

Odds: The odds of winning depends on the number of eligible entries received. NO PURCHASE NECESSARY. PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

Four (4) Grand Prizes: Each Grand Prize winner will receive the following:

• Each Grand Prize winner MAY be featured on the 2020 NFL Draft Broadcast when the Titans are making a selection. THERE IS NO GUARANTEE GRAND PRIZE WINNERS WILL BE SHOWN AS PART OF THE BROADCAST. ARV for each Grand Prize: $0.00.
• In addition to having the opportunity to be featured when the Titans are making a selection during the 2020 NFL Draft, all four (4) Grand Prize winners will receive a Titans Fan Pack, which will include a Titans koozie, a metal pint cup, a clear cinch bag and the 2020 Official Titans Draft Hat. All Titans Fan Pack items are subject to availability and may be changed at Sponsor's sole discretion. ARV for each Grand Prize: $70.00

All details, including exact time and overall nature of the event, to be determined by Sponsor in its sole discretion. All winners must be available on his/her day of potential participation from sixty (60) minutes prior to the start of the day's broadcast through the broadcast's entirety. Costs and expenses associated with the acceptance and use of a prize not specified herein as being awarded, including, but not limited to, all federal, state and local taxes, a computer or mobile phone with camera and microphone capabilities, and a high speed wireless internet connection are each winner's sole responsibility. Released Parties reserve the right to terminate or to deny the opportunity to be featured to any winner who does not meet minimum computer/mobile phone or wireless internet connection standards, is not dressed in Titans apparel during the broadcast, is using third-party branding as part of his/her outfit or background, or who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person during the broadcast. Additionally, Sponsor strongly recommends each winner abides by Centers for Disease Control and Prevention ("CDC") guidelines during potential participation. The determination of minimum computer/mobile phone and wireless internet connection standards are at the sole discretion of Sponsor.

Released Parties will host a mandatory rehearsal the week before the 2020 NFL Draft to ensure minimum computer /mobile phone and wireless internet connection standards are met. Any winner who fails to attend the rehearsal or whose computer/mobile phone or wireless internet connection does not meet minimum standards will forfeit his/her prize and the prize may be awarded to another entrant. Limit one (1) Grand Prize per person, and/or valid email address.

Total ARV of all prizes to be awarded in this Contest: $280.00 Any difference between stated value and actual value will not be awarded.

Entry Details: By entering, each entrant warrants and represents that his/her Submission does not defame or otherwise violate the rights of any third party and does not violate any federal, state or local laws or ordinances. The name of the "authorized account holder" associated with any given email address or social media account will be deemed to be the entrant and must comply with these Official Rules. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, an online service provider, or another organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Proof (to Sponsor's satisfaction) of being the authorized account holder may be required by Sponsor.

Released Parties are not responsible for lost, incomplete, late, damaged, delayed, garbled, inaccurate, incomplete or misdirected entries, Submissions or email messages; failures or malfunctions of phones, phone lines or telephone systems or other communications malfunctions; interrupted or unavailable network, server or other connections, failed computer hardware or software or other technical failures; garbled, lost, misrouted or scrambled transmissions; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or for any technical problem, including but not limited to any injury or damage to entrant's or any other person's computer related to or resulting from participation in this Contest; printing, typographical or other errors appearing within these Official Rules or in any Contest-related advertisements or other materials; or other errors or problems of any kind whether mechanical, human, technical, electronic or otherwise; or the administration of the Contest; or the processing of Entries or Submissions. Use of any device to automate or subvert the entry process is prohibited and any entries or submissions received through such means will be void. Entries or Submissions will be disqualified if they contain inappropriate material or language, including profanity.

Personal Data and Privacy Policy: By entering the Contest, Entrants consent to the handling of their information as described in the Sponsor's Privacy Policy, which can be found at: http://www.tennesseetitans.com/footer/terms-of-use-privacy-policy.html. By entering this Contest, each entrant gives his/her express permission to be contacted by the Sponsor about other Sponsor programs.

Miscellaneous: No transfer, assignment, cash redemption or substitution of prize (or portion of prize) permitted except by Sponsor who reserves the right to substitute a prize (or applicable portion of prize) of comparable or greater value, at its sole discretion. Failure to satisfy any of the foregoing, comply with these Official Rules or any prize or prize notification being returned as non-deliverable or Sponsor being unable to contact potential winners within a reasonable time period for any reason will result in prize being forfeited and, at Sponsor's discretion, runner-up winners may be selected from all remaining eligible entries.

By participating, each entrant acknowledges and agrees: (1) to be bound by these Official Rules and the decisions of the Sponsor which are final and binding in all respects; (2) that his/her Submission (and all components thereof) will not be acknowledged or returned; (3) that Released Parties and their respective designees shall have the right and permission to use (unless prohibited by law) entrant's name, voice, city and state of residence, photograph and/or likeness for advertising and/or trade and/or any other purpose in any media now or hereafter known without further compensation, permission or notification to entrants or any third parties; and (4) the Released Parties shall have no liability and will be held harmless by entrants for any liability, loss, injury or damage to participants or any other person or entity, including personal injury or death to participants or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of entrant's participation in this Contest, the use of any photo or acceptance, possession, use or misuse of a prize.

Sponsor reserves the right, in its sole discretion, to void suspect Submissions or to modify, cancel, terminate or suspend the Contest (or any portion thereof) should virus, bugs, non-authorized human intervention or other causes, including but not limited to war or armed conflict (whether or not officially declared), pandemic or health concerns thereof, labor controversy or threat thereof, and/or acts of God, corrupt or impair the administration, security, fairness or proper play of the Contest and, in the event of such cancellation, suspension or termination, at its discretion, select the Grand Prize winners from among all non-suspect, eligible Entries received up to time of such action.

Disputes: THIS CONTEST IS GOVERNED BY THE LAWS OF DAVIDSON COUNTY AND THE STATE OF TENNESSEE, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. EXCLUSIVE JURISDICTION AND VENUE FOR ALL MATTERS RELATED TO THIS CONTEST SHALL BE IN THE STATE COURTS OF DAVIDSON COUNTY, TENNESSEE, OR THE UNITED STATES DISTRICT COURT FOR THE MIDDLE DISTRICT OF TENNESSEE, NASHVILLE DIVISION, AND SPONSOR AND PARTICIPANT HEREBY AGREE AND CONSENT TO SUCH JURISDICTION AND VENUE. As a condition of participating in this Contest, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Tennessee having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney's fees, other than participant's actual out-of-pocket expenses (i.e. costs associated with entering this Contest). Participant further waives all rights to have damages multiplied or increased.

SPONSOR AND RELEASED PARTIES WILL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY TRAVEL RELATED TO THE GRAND PRIZE OR ANY OTHER ASPECT OF THE GRAND PRIZE WINNERS' ACCEPTANCE OR USE OF THE GRAND PRIZE.

CAUTION: ANY ATTEMPT BY ANY PERSON OR PERSONS, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS CONTEST OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR WILL DISQUALIFY ANY SUCH ENTRANT, AND SPONSOR, AND THEIR RESPECTIVE AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND OTHER REMEDIES FROM ANY PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
