Eligibility: The Nissan Stadium 12 Days of Christmas Contest ("Contest") is open to legal residents of Tennessee, Alabama & Kentucky and who are eighteen (18) years of age or older as of date of entry. Employees, officers & directors of Cumberland Stadium, Inc., doing business as Nissan Stadium ("Sponsor"), the NFL Parties (defined as NFL Enterprises LLC, NFL Properties LLC, the National Football League, its member professional football clubs, NFL Ventures, Inc., NFL Ventures, L.P., NFL International LLC, NFL Productions LLC and each of their respective affiliates, owners, subsidiaries, shareholders, officers, directors, partners, agents, representatives and employees, both individually and collectively) and each of their respective parents, affiliates, subsidiaries, agents, wholesalers, retailers, distributors, suppliers, advertising and promotion agencies (hereafter collectively, "Released Parties"), and each such individual's immediate family members (mother, father, sister, brother, child, husband, wife and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related, are not eligible to participate or win. Void outside the aforementioned states and where prohibited or restricted by law, rule or regulation.All applicable federal, state and local laws apply. This Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook, Twitter or Instagram. You are providing your information to the Sponsor and not to Facebook, Twitter or Instagram. The information you provide will only be used for Contest purposes.

How To Participate: The Contest starts on December 13, 2018 at 10:00 AM Central Time ("CT") and ends on December 24, 2018 at 11:59 PM CT (the "Contest Period"). Participants may enter the contest (each, a "Submission" and/or "Entry") as follows:

a) Facebook (Facebook.com/NissanStadium): Visit Facebook.com/NissanStadium and comment on that day's 12 Days of Christmas Contest Nissan Stadium facebook post. Completing an Entry on Facebook constitutes your unconditional acceptance to these Official Rules.

b) Twitter (Twitter.com/NissanStadium): Visit Twitter.com/NissanStadium and retweet that day's 12 Days of Christmas Contest @NissanStadium twitter post. Completing an Entry on Twitter constitutes your unconditional acceptance to these Official Rules.

c) Instagram (Instagram.com/NissanStadium): Visit Instagram.com/NissanStadium and comment on that day's 12 Days of Christmas Content Nissan Stadium Instagram post. Completing an Entry on Instagram constitutes your unconditional acceptance to these Official Rules.

Limit one (1) Contest entry per person per day, regardless of the method of entry. Additional entries received beyond the first Entry from any given handle, person and/or valid e-mail on any given day will be void. By submitting an Entry, entrant hereby warrants and represents that the Entry conforms to the Entry Requirements set forth herein. Entries that are deemed to be immoral, obscene, profane or not in keeping with Sponsor's image or in violation of these Official Rules will be void. In addition, to be eligible, Entry cannot include any third party intellectual property, general property, likeness or imagery. Entry cannot defame or invade intellectual property rights of any person, living or deceased, or otherwise infringe upon any copyrighted, trademarked, or patented works or person's personal or proprietary rights. All Entries become the exclusive property of the Sponsor, and none will be acknowledged or returned.

Choosing Winners: Each day Sponsor will randomly choose a winner among qualified Submissions. Sponsor will attempt to notify each potential winner via email, comment or direct message. The potential winner must then contact Sponsor using that contact information provided in the email, comment or direct message within forty-eight (48) hours of notification. Potential winners are subject to eligibility verification and compliance with these Official Rules.

Potential prize winners will be required to execute and return an Affidavit of Eligibility, Liability Release and (unless prohibited by law) Publicity Release within three (3) days of issuance. Sponsor will provide the prize winners with the prize, or with a voucher, certificate, or other document giving the person the unconditional right to receive the prize, within thirty (30) days of notifying the prize winners that they won. If a potential winner cannot be contacted; is ineligible according to these Official Rules; fails to return the required documents within the specified time period, if prize notification is returned as undeliverable; if a potential winner decides to decline his/her prize for any reason whatsoever; or if a potential winner otherwise fails to fully comply with these Official Rules, he/she will forfeit his/her prize and the prize may be awarded to another random winner.

Odds: The odds of winning depend on the number of eligible entries received.

All prizes are subject to the terms and conditions specified thereon. The location of all tickets will be determined at Sponsor's sole discretion. Unused tickets cannot be refunded, exchanged or applied towards tickets for events in any subsequent years. Each winner and his/her respective guests must comply with all venue rules and regulations. Failure to do so may result in forfeiture of such portion of the prize and removal from game. Released Parties reserve the right to remove or to deny attendance to any winner and/or guest who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game. Terms, conditions and restrictions on voucher may apply, as designated by issuer. Costs and expenses associated with the acceptance and use of a prize not specified herein as being awarded, including, but not limited to, all federal, state and local taxes, transportation to/from stadium (if applicable, food, beverages, souvenirs, gratuities, etc.) are winner's sole responsibility.

Entry Details: By entering, each entrant warrants and represents that his/her Submission does not defame or otherwise violate the rights of any third party and does not violate any federal, state or local laws or ordinances. The name of the "authorized account holder" associated with any given email address or social media account will be deemed to be the entrant and must comply with these Official Rules. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, an online service provider, or another organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Proof (to Sponsor's satisfaction) of being the authorized account holder may be required by Sponsor. Released Parties are not responsible for lost, incomplete, late, damaged, delayed, garbled, inaccurate, incomplete or misdirected entries, Submissions or email messages; failures or malfunctions of phones, phone lines or telephone systems or other communications malfunctions; interrupted or unavailable network, server or other connections including those through facebook.com/NissanStadium, Twitter.com/NissanStadium or Instagram.com/NissanStadium; miscommunications, failed computer hardware or software or other technical failures; garbled, lost, misrouted or scrambled transmissions; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or for any technical problem, including but not limited to any injury or damage to entrant's or any other person's computer related to or resulting from participation in this Contest; printing, typographical or other errors appearing within these Official Rules or in any Contest-related advertisements or other materials; or other errors or problems of any kind whether mechanical, human, technical, electronic or otherwise; or the administration of the Contest; or the processing of Entries or Submissions. Use of any device to automate or subvert the entry process is prohibited and any entries or submissions received through such means will be void. Entries or Submissions will be disqualified if they contain inappropriate material or language, including profanity.

Miscellaneous: No transfer, assignment, cash redemption or substitution of prize (or portion of prize) permitted except by Sponsor who reserves the right to substitute a prize (or applicable portion of prize) of comparable or greater value, at its sole discretion. Failure to satisfy any of the foregoing, comply with these Official Rules or any prize or prize notification being returned as non-deliverable or Sponsor being unable to contact potential winner within a reasonable time period for any reason will result in prize being forfeited and, at Sponsor's discretion, a runner-up winner may be selected from all remaining eligible entries. By participating, each entrant acknowledges and agrees: (1) to be bound by these Official Rules and the decisions of the Sponsor and judges which are final and binding in all respects; (2) that his/her Submission (and all components thereof) will not be acknowledged or returned; (3) that Released Parties and their respective designees shall have the right and permission to use (unless prohibited by law) entrant's name, voice, city and state of residence, photograph and/or likeness for advertising and/or trade and/or any other purpose in any media now or hereafter known without further compensation, permission or notification to entrants or any third parties; and (4) the Released Parties shall have no liability and will be held harmless by entrants for any liability, loss, injury or damage to participants or any other person or entity, including personal injury or death to participants or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of entrant's participation in this Contest, the use of any photo or acceptance, possession, use or misuse of a prize. Sponsor reserves the right, in its sole discretion, to void suspect Submissions or to modify, cancel, terminate or suspend the Contest (or any portion thereof) should virus, bugs, non-authorized human intervention or other causes, including but not limited to war or armed conflict (whether or not officially declared), labor controversy or threat thereof, and/or acts of God, corrupt or impair the administration, security, fairness or proper play of the Contest and, in the event of such cancellation, suspension or termination, at its discretion, select the prize winners from among all non-suspect, eligible Entries received up to time of such action.

Disputes: THIS CONTEST IS GOVERNED BY THE LAWS OF DAVIDSON COUNTY AND THE STATE OF TENNESSEE, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. EXCLUSIVE JURISDICTION AND VENUE FOR ALL MATTERS RELATED TO THIS CONTEST SHALL BE IN THE STATE COURTS OF DAVIDSON COUNTY, TENNESSEE, OR THE UNITED STATES DISTRICT COURT FOR THE MIDDLE DISTRICT OF TENNESSEE, NASVILLE DIVISION, AND SPONSOR AND PARTICIPANT HEREBY AGREE AND CONSENT TO SUCH JURISDICTION AND VENUE. As a condition of participating in this Contest, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Tennessee having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney's fees, other than participant's actual out-of-pocket expenses (i.e. costs associated with entering this Contest). Participant further waives all rights to have damages multiplied or increased.

SPONSORS WILL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY TRAVEL RELATED TO THE PRIZES OR ANY OTHER ASPECT OF THE PRIZE WINNERS' ACCEPTANCE OR USE OF THE PRIZES.

CAUTION: ANY ATTEMPT BY ANY PERSON OR PERSONS, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS CONTEST OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR WILL DISQUALIFY ANY SUCH ENTRANT, AND SPONSOR, AND THEIR RESPECTIVE AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND OTHER REMEDIES FROM ANY PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
